LLC Registration in Armenia for Foreigners: Cost, Time, Documents
By WSE.AM editorial team, edited by Mark Muzyka · Updated 23 October 2026
A foreigner can register an LLC in Armenia free of charge in up to 2 working days. You need a notarised ID copy with Armenian translation and a social number.
A foreigner can register a limited liability company (LLC, in Armenian ՍՊԸ) in Armenia: the government portal hartak.am lists registration as free of charge and taking up to 2 working days, or instant with the standard charter forms. A foreign founder needs a notarised copy of their identity document with an Armenian translation and a public service number (social number).
Up to date as of 23 October 2026. This is not legal advice: laws change, check the source or a lawyer before acting.
How much it costs and how long it takes
The state duty for registering commercial organisations has been removed from the Law on State Duty: the relevant points of Article 16 were repealed by law ՀՕ-41-Ն of 19 January 2021. hartak.am lists the service as free. Both Armenian citizens and foreigners can apply.
| Situation | Registration time |
|---|---|
| All founders are individuals | 1 working day |
| At least one founder is a legal entity | 2 working days |
| Standard charter forms are used | Immediately |
Documents for a foreign founder
1. A notarised copy of your identity document with a translation into Armenian. 2. A public service number (social number); how a foreigner gets one is explained in Armenian social number for foreigners. 3. If the founder is a foreign company: its documents translated into Armenian and certified by a notary. Foreign company papers usually need an apostille in their home country first; see apostille and translation for Armenia.
We found no official requirement for a foreign founder to hold an Armenian residence permit or to have an Armenian legal address: hartak.am says nothing about the address, and a residence permit is not on the document list. This is not officially published as of 23 October 2026; check with the State Register Agency of Legal Entities. Notary fees for certified copies and translations are covered in how much a notary costs in Armenia.
Registering a company and the right to work in Armenia are separate questions. If you are not an EAEU citizen, read work permit in Armenia for foreigners.
Where to apply: in person or online
- In person: open to everyone, including foreigners. The State Register Agency (Yerevan, 49 Komitas Avenue), its regional offices, banks that offer the service and HayPost branches.
- Online: only sole proprietorships and LLCs, and only with an Armenian ID card and a digital signature. There is no official confirmation that a foreigner without an Armenian ID card can register online, so most newcomers apply in person.
State duties after registration
Registration is free, but later changes are charged under Article 16 of the Law on State Duty (base duty 1,000 AMD):
| Action | State duty |
|---|---|
| Registering changes to the charter | 10 base duties, 10,000 AMD |
| Change of director or of a participant's details | 5 base duties, 5,000 AMD |
| Change of LLC participants | 20 base duties |
| The words "Armenia" or "Armenian" in the company name | 600,000 AMD per year |
A company seal is not required.
LLC or sole proprietor
| Criterion | LLC | Sole proprietor |
|---|---|---|
| Registration duty | Free | 3,000 AMD for a paper application |
| Time | Up to 2 working days, immediately with the standard charter | Immediately |
| Foreigner's documents | Notarised ID copy with translation and social number | Passport with notarised translation and duty receipt |
| Beneficial ownership declaration | Within 40 days of registration | Not filed |
| Bank account | Mandatory for a legal entity | The portal does not say it is mandatory |
| Turnover tax or micro-enterprise | Available within the thresholds | Available within the thresholds |
The sole proprietor route is explained in how to register as a sole proprietor in Armenia.
Tax regime and first deadlines
As with a sole proprietorship, choose the tax regime early: the application for turnover tax or micro-enterprise status goes to the tax authority by the 20th day after state registration (Tax Code, Articles 254 and 267). Without it, the general regime with 20% VAT applies, and the company pays 18% profit tax (Tax Code, Article 125).
The thresholds are the same for an LLC and a sole proprietor: turnover tax if last year's turnover did not exceed 115 million AMD, micro-enterprise if it did not exceed 24 million AMD. Note that software development, consulting, design, marketing and translation services cannot use micro-enterprise status, which matters for many IT relocants. Rates are covered in taxes for sole proprietors in Armenia in 2026 and the company account in opening a bank account in Armenia as a foreigner.
